Welcome to Neuronsource ("Neuronsource," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). 1. Overview of Our Services

Neuronsource provides talent acquisition and candidate-sourcing services to employers ("Clients") and allows individuals ("Candidates") to submit resumes, job applications, and professional information for employment consideration. Neuronsource is not an employer of the candidates it introduces. We act solely as an intermediary to support Clients in identifying potential hires.

2. Eligibility

2.1 For Candidates

To use our Services, you must:

• Be at least 18 years old
• Provide accurate, complete, and truthful information
• Have the legal right to work in the jurisdictions related to the job opportunities you pursue

2.2 For Clients

Clients must:

• Be legally registered businesses
• Have the authority to enter into binding contracts
• Use candidate information only for legitimate hiring purposes

3. Use of the Services

3.1 Acceptable Use

You agree not to:

• Provide false or misleading information
• Harass or harm others
• Upload harmful code or disrupt the platform
• Scrape, harvest, or extract data without authorization

3.2 Account Responsibility

If you create an account, you are responsible for:

• Maintaining its confidentiality
• All activity under your account
• Informing us of unauthorized access

We may disable or terminate accounts that violate these Terms.

4. Candidate Information & Submissions

By submitting resumes, applications, or related materials, you represent that:

• All information is accurate and truthful
• You authorize Neuronsource to share your information with Client companies for hiring purposes
• You permit us to contact you regarding job opportunities

Neuronsource does not guarantee employment, interviews, or hiring outcomes.

5. Client Use of Information

Clients agree to:

• Use candidate information only for employment evaluation
• Protect the confidentiality of candidate data
• Comply with relevant employment, privacy, and anti-discrimination laws

Clients may not sell, misuse, or repurpose candidate data for non-employment purposes.

6. Fees

6.1 For Candidates

We do not charge Candidates for using our Services.

6.2 For Clients

Fees for sourcing, placement, or recruiting services are governed by separate written agreements between Neuronsource and each Client. These Terms do not replace or override those agreements.

7. Intellectual Property

All content and materials provided via the Services-including logos, text, graphics, software, and design-are owned by Neuronsource or its licensors.

You may not:

• Copy, distribute, or reproduce content
• Reverse engineer any part of the platform
• Use our trademarks without permission

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information. By using our Services, you agree to the practices described in our Privacy Policy.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind.

We do not guarantee:

• That a Candidate will be hired
• That a job opportunity remains open or available
• That the Services will be uninterrupted or error-free

To the fullest extent permitted by law, we disclaim all warranties.

10. Limitation of Liability

To the maximum extent permitted by law:

• Neuronsource is not liable for indirect, incidental, special, or consequential damages, including lost profits or data.
• Our total liability for any claim shall not exceed the amount paid to us for the Services giving rise to the claim, or USD $100 if no fees were paid.

Clients remain solely responsible for their hiring decisions and employment-related obligations.

11. Indemnification

You agree to indemnify and hold harmless Neuronsource and its officers, employees, contractors, and agents from any claims, losses, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable laws
• Hiring or employment decisions made by Clients

12. Third-Party Links

The Services may contain links to third-party websites. We do not control or endorse third-party content and are not responsible for their policies or practices.

13. Termination

We may suspend or terminate your access to the Services at any time, including for:

• Violations of these Terms
• Misuse of the platform
• Compliance with legal obligations

Sections intended to survive termination-including limitations of liability and indemnification-will continue to apply.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update or modify these Terms from time to time. When changes occur, we will update the "Last Updated" date above. Your continued use of the Services signifies acceptance of any revised Terms.
